1. Acceptance of Terms

Welcome to the Western Australian AI Hub ("we," "our," or "us"). By accessing or using our website, services, programs, or becoming a member, you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you must not access or use our services. These Terms constitute a legally binding agreement between you and the Western Australian AI Hub.

1.1 Eligibility

You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our services. By using our services, you represent and warrant that you meet these requirements.

1.2 Business Use

If you are accessing our services on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

2. Membership Terms

2.1 Membership Tiers

We offer the following membership tiers based on organisation size:

  • Start-Up: For organisations with 1-10 FTE employees ($550/year)
  • SME: For organisations with 11-50 FTE employees ($1,500/year)
  • Enterprise: For organisations with 50+ FTE employees ($3,000/year)
  • Institutional: For educational institutions, government agencies, and non-profits ($1,500/year)

2.2 Founding Member Benefits

Year 1 members receive Founding Member status, which includes preferential pricing for Year 3 renewals and exclusive benefits granted in perpetuity. Founding Member benefits are non-transferable.

2.3 Payment Terms

  • Membership fees are payable annually in advance
  • All prices are in Australian Dollars (AUD) and include GST where applicable
  • Payment is processed securely through our payment provider (Stripe)
  • Membership begins upon successful payment processing
  • Pricing may increase in subsequent years as outlined in our membership materials

2.4 Renewal and Cancellation

  • Memberships are valid for 12 months from the date of purchase
  • We will notify you 30 days before your membership expires
  • Memberships do not automatically renew; you must actively renew your membership
  • You may cancel your membership at any time by contacting us
  • Membership fees are non-refundable except as required by Australian Consumer Law

2.5 Membership Benefits

Membership includes access to:

  • Exclusive member events and networking opportunities
  • Priority access to programs and workshops
  • Industry insights and research reports
  • Consultation and advisory services
  • Community forums and collaboration platforms

We reserve the right to modify membership benefits with reasonable notice to members.

3. User Obligations and Acceptable Use

3.1 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Providing accurate and current information

3.2 Prohibited Activities

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Transmit harmful, offensive, or inappropriate content
  • Engage in harassment, discrimination, or abusive behavior
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt our services
  • Use our services for commercial purposes without authorization
  • Impersonate others or misrepresent your affiliation
  • Collect or harvest personal information of other users

3.3 Professional Conduct

As a member of the Western Australian AI Hub community, you agree to maintain professional standards of conduct, respect diversity and inclusion, and contribute positively to the AI ecosystem in Western Australia.

3.4 Content Submission

If you submit content (comments, feedback, suggestions), you grant us a non-exclusive, worldwide, royalty-free licence to use, reproduce, and distribute such content for the purposes of operating and improving our services.

4. Intellectual Property Rights

4.1 Our Content

All content on our website and in our materials, including text, graphics, logos, images, software, and other materials, is owned by or licenced to the Western Australian AI Hub and is protected by Australian and international copyright, trademark, and other intellectual property laws.

4.2 Limited Licence

We grant you a limited, non-exclusive, non-transferable licence to access and use our services for your personal or internal business purposes. This licence does not include the right to:

  • Reproduce, distribute, or publicly display our content without permission
  • Modify or create derivative works
  • Use our content for commercial purposes
  • Remove or alter copyright notices

4.3 Trademarks

"Western Australian AI Hub," "WA AI Hub," and associated logos are trademarks of the Western Australian AI Hub. You may not use these trademarks without our prior written permission.

4.4 User Content

You retain ownership of any content you submit to us. However, by submitting content, you grant us the rights necessary to use that content to provide and improve our services.

5. Services Description

The Western Australian AI Hub provides the following services:

5.1 AI Training and Education

We offer educational programs, workshops, and training sessions designed to build AI literacy and capability across K-12, TAFE, university, and professional contexts.

5.2 Consulting Services

We provide strategic consulting, AI transformation guidance, and technical advisory services to organisations seeking to implement AI solutions.

5.3 Event Access

Members receive access to exclusive events, including networking sessions, industry forums, technical workshops, and leadership programs.

5.4 Community Participation

Members can participate in our community forums, collaboration platforms, and working groups focused on advancing AI in Western Australia.

5.5 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice. We are not liable for any modification, suspension, or discontinuation of services.

6. Limitation of Liability and Disclaimers

6.1 Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, to the maximum extent permitted by law. We do not warrant that our services will be uninterrupted, error-free, or secure.

6.2 Limitation of Liability

To the maximum extent permitted by law, the Western Australian AI Hub, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services.

Our total liability for any claims arising from these Terms or your use of our services shall not exceed the amount you paid for membership in the 12 months preceding the claim.

6.3 Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any consumer rights under the Australian Consumer Law or other applicable laws that cannot be excluded, restricted, or modified by agreement.

6.4 Indemnification

You agree to indemnify and hold harmless the Western Australian AI Hub from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your breach of these Terms or your use of our services.

6.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, or technical failures.

7. Dispute Resolution and Governing Law

7.1 Governing Law

These Terms are governed by the laws of Western Australia and the Commonwealth of Australia. You agree to submit to the exclusive jurisdiction of the courts of Western Australia.

7.2 Dispute Resolution Process

If a dispute arises, you agree to first attempt to resolve it informally by contacting us at privacy@wahub.ai. We will work in good faith to resolve the dispute within 30 days.

7.3 Mediation

If informal resolution is unsuccessful, both parties agree to attempt mediation before pursuing litigation. Mediation costs will be shared equally unless otherwise agreed.

8. General Provisions

8.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Western Australian AI Hub regarding your use of our services.

8.2 Amendments

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after changes take effect constitutes acceptance of the updated Terms.

8.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

8.4 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

8.5 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

8.6 Survival

Provisions that by their nature should survive termination (including intellectual property rights, limitation of liability, and dispute resolution) will survive the termination of these Terms.
